UFG is currently hiring for a IT Contract Specialist who will support the review and negotiation of complex contracts, as assigned, in addition to analytical and procedural support to internal and external stakeholders. This position is key to managing contracts in alignment with procurement and business strategies and goals. Additionally, this position assists with the contract execution process, resolving problems, mitigating delays, assisting with audits, mediating disputes, and escalating issues. An ideal candidate will be seasoned in handling a wide range of commercial contracts with vendors and service providers, including SaaS, cloud services, third-party tools/applications, contractors, NDAs, SOWs, and technology licensing agreements and will have had direct responsibility for drafting, reviewing, and negotiating of complex technology and IT service contracts. Responsibilities: * Negotiate contracts effectively with external parties. * Interpret and explain complex contractual requirements and associated risks to internal business stakeholders. * Assist in the development of strategies for sourcing, supplier management, negotiation, productivity, and vendor / supplier relationships. * Exercise sound business judgment to help create practical business solutions. * Independently evaluate or create Return on Investment (ROI), Total Cost of Ownership (TCO), and "What-If" scenario analysis for complex purchases and agreements. * Collaborate with the vendor management team, legal, and functional leaders to draft, review, and negotiate a variety of standard form agreements and commercial contracts including, but not limited to, non-disclosure agreements (NDAs) statements of work (SOWs), service agreements, and supply agreements with vendors. * Negotiate contract modifications, follow-up quotations, revisions, terms and conditions with vendors. * Utilize subject matter experts to ensure all levels of risk are recognized and subsequently addressed through development of unique contract terms and conditions. * Plan and lead negotiation efforts with suppliers including the development of negotiation strategies which meet business objectives. * Review contractual terms and conditions for their acceptability, as well as assessing the risk and impact to the proposal or business activity. * Present and explain contract terms and conditions to functional business partners. * Act as a knowledge resource to functional business partners in regard to current contracting policies and processes. * Manage vendor contract performance from beginning to end for conformance to original proposal or contract. * Interpret complex contracts and interface with vendors and third parties on contract issues. * Partner closely with legal and leadership to ensure proper contracting escalation throughout review process and obtain all other required internal review and approvals for contract terms and provisions. * Assist in efforts to improve current processes and effectiveness of the operational contracting team. Qualifications: Education: * Bachelor's Degree in Business, Management or related field preferred, relevant work experience will be taken into consideration in lieu of degree Certifications/Designations: * Paralegal Certificate preferred if no Bachelor's Degree in Business, Management or related field Experience: * Minimum of 2+ experience in legal, procurement, or supply chain with direct experience drafting and negotiating complex contract terms and conditions in technology and IT service agreements. Working Conditions: * General Office Environment or Fully Remote * Must be available for occasional business travel. Estimated to be > 5% Knowledge, skills & abilities: * Expertise in drafting and negotiating a wide variety of commercial, licensing and other technology-related agreements where long-term partnering is crucial to achievement. * Broad-based understanding of core vendor management areas of focus (procurement, spend management, category management and vendor risk management). * High level understanding of IT concepts and systems (ITIL experience desired, but not required). * Experience working with all key departments (security, compliance, finance, tax, AP), and knowledge of procurement and vendor management practices. * Experience in managing large complex contracts in one or more IT categories, including hardware, software, service and telecom. * Understanding of complex contractual terms and conditions including intellectual property ownership. * Familiarity with regulatory requirements applicable to vendor agreements (i.e. CCPA, HIPPA, NYDFS, etc) * Strong understanding of technology risk management, including cybersecurity and PII/confidential data. * Knowledge relating to IT software, hardware and telecommunications vendor community and/or experience conducting technology-related vendor research.
